CS Foundation 2026 — Starting Your Company Secretary Journey
CS Foundation is the entry-level stage of the Company Secretary programme governed by ICSI (Institute of Company Secretaries of India). It is an OMR-based objective examination with 4 papers of 100 marks each, tested across two sessions in a single day.
ICSI conducts CS Foundation in June and December each year. The December 2026 attempt is the next upcoming session — registration typically closes in August 2026. The exam is conducted at ICSI-approved test centres across India.
Four Papers at a Glance
- Paper 1 — Business Environment and Law (100 marks, Objective): Indian economy, business environment, law of contract, negotiable instruments, and consumer protection. High overlap with Class 12 Business Studies and Economics.
- Paper 2 — Business Management, Ethics and Entrepreneurship (100 marks, Objective): Management principles, organisational theory, business ethics, and entrepreneurship concepts. Largely theoretical — consistent reading beats cramming.
- Paper 3 — Business Economics (100 marks, Objective): Micro and macro economics, demand-supply analysis, national income, money and banking, and international trade. Most commerce graduates find this the most scoring paper.
- Paper 4 — Fundamentals of Accounting and Auditing (100 marks, Objective): Basic accounting principles, double entry, final accounts, and elementary auditing concepts. Students without an accounting background should start this paper earliest.
Pass Rate and Realistic Expectations
CS Foundation has one of the higher pass rates in professional exams — approximately 40–50% across recent attempts. It is objective-only (MCQ), so presentation and writing speed are non-issues. What fails students here is overconfidence: treating the papers as easy and under-preparing. Papers 1 (Law) and 4 (Accounting) have the most tricky MCQs — focus here.
Who Should Consider Bypassing CS Foundation?
Commerce graduates (B.Com, BBA) and law graduates (LLB) are eligible to register directly for CS Executive without appearing in Foundation. This direct-entry route saves 6–12 months. If you hold a bachelor's degree in any discipline, check your eligibility for direct Executive entry — most degree holders qualify.
