CSEET Paper 4 - Business Laws and Management
Business Laws and Management is Paper 4 of ICSI's restructured CSEET, effective from the June 2026 session. It is the only OMR-based paper in the test - 100 marks in 2 hours, with no negative marking - and it merges what were two separate papers under the old CS Foundation Programme. The mark split is Business Laws 60 and Business Management 40.
Business Laws (60 marks)
- Sources of law, the Indian legal system, and the difference between civil and criminal liability
- Indian Contract Act 1872 - offer and acceptance, consideration, capacity, free consent, discharge and breach; the single largest topic
- Sale of Goods Act 1930 - conditions and warranties, transfer of property, unpaid seller's rights
- Negotiable Instruments Act 1881 - promissory notes, bills of exchange, cheques, endorsement and dishonour
- Partnership Act 1932 and the LLP Act 2008 - formation, rights and duties of partners, dissolution
- Elements of company law - incorporation, types of companies, MOA and AOA, and the role of the Company Secretary
Business Management (40 marks)
- Nature and scope of management; the functions - planning, organising, staffing, directing and controlling
- Principles of management - Taylor and Fayol - and modern management approaches
- Organisational structure, delegation, motivation and leadership
- Management knowledge relevant to a Company Secretary's role in a corporate structure
Why no negative marking matters
ICSI has confirmed there is no negative marking in the OMR paper. That changes the optimal strategy completely: never leave a question blank. Eliminate what you can and commit to an answer on every one of them.
