CS Executive Paper 3 - Setting Up of Business, Industrial and Labour Laws
Under the ICSI New Syllabus 2022 this paper changed shape significantly. The old "Setting up of Business Entities and Closure" was rebuilt: the closure and insolvency content moved out, and a substantial industrial and labour law component moved in. It is a 100-mark paper in Group 1.
Part A - Setting up of business
- Selecting the right business organisation - sole proprietorship, partnership, LLP, private and public company, One Person Company, producer company and Section 8 company
- Incorporation procedure, SPICe+ and the post-incorporation compliances
- Startups, MSME registration, and the regulatory framework for foreign entities - liaison, branch and project offices
- Sector-specific registrations and licences, and conversion between entity forms
Part B - Industrial and labour laws
- The Code on Wages 2019 - minimum wages, payment of wages, bonus and equal remuneration consolidated
- The Industrial Relations Code 2020 - trade unions, standing orders, layoff, retrenchment and dispute resolution
- The Code on Social Security 2020 - EPF, ESI, gratuity, maternity benefit and employee compensation
- The Occupational Safety, Health and Working Conditions Code 2020
- Sexual Harassment of Women at Workplace Act 2013 and the CS role in constituting an Internal Committee
How to approach it
Students consistently underestimate the labour half because it looks like memorisation. It is not - ICSI asks applied questions about which code applies to a given establishment and what the employer must do. Learn the four codes by what they replaced and by thresholds, not by section numbers.
