Real reviews from CS Executive aspirants on ClearLevel

Company Law and Securities Laws are my strongest papers thanks to ClearLevel. The faculty doesn't just read the Act — they explain the intent behind each provision with NCLT and SAT case examples. This kind of depth is what ICSI's subjective papers reward. Cleared both modules in December 2025.

Tax Laws was the paper I was most worried about. ClearLevel's amendment update sessions before the December exam covered every relevant Finance Act change. Scored 51 — not brilliant but a pass, and in Tax Laws that's what matters when the paper is as amendment-heavy as it is.

CS Executive 2026 — Where Corporate Law Gets Serious

CS Executive is where the Company Secretary course stops being introductory and starts being real. Eight papers across two modules, Company Law, Tax Laws, Securities Laws, FEMA, IBC, Capital Markets, taught at the depth ICSI actually expects from professionals practising in corporate governance and compliance roles.

The December 2025 Module 1 pass rate was approximately 25–33%. Module 2 was 22–30%. Tax Laws (Paper 4) and Securities Laws (Paper 6) have the highest failure rates in every attempt.

At ClearLevel, you can buy CS Executive classes online for all eight papers from India's most trusted CS Executive faculty at the lowest price available anywhere in India.

CS Executive — 8 Papers, Two Modules, December 2026

ICSI conducts CS Executive in June and December each year. The December 2026 attempt is the next major session. Both the objective and subjective portions of CS Executive carry 100 marks each. There is negative marking of 0.25 marks for every wrong answer in the objective section. You need 50% aggregate per module to pass.

Module 1 — The Legal Foundation

  • Paper 1 — Jurisprudence, Interpretation and General Laws (100 marks): Constitutional law, interpretation of statutes, law of torts, and general procedural laws.

  • Paper 2 — Company Law (100 marks): Companies Act 2013 — incorporation, share capital, meetings, directors, winding up, and NCLT. The most important paper in the entire CS curriculum.

  • Paper 3 — Setting Up of Business Entities and Closure (100 marks): Formation of companies, LLPs, partnerships, FDI regulations, and the IBC 2016 for winding up. Practical and procedural.

  • Paper 4 — Tax Laws (100 marks): Income Tax Act (direct tax, ~50%) and GST (indirect tax, ~50%), updated for Finance Act 2025. Tax Laws is the most amendment-sensitive paper.

Module 2 — The Commercial Competence

  • Paper 5 — Corporate and Management Accounting (100 marks): Financial accounting for companies, management accounting tools, cash flow, and ratio analysis.

  • Paper 6 — Securities Laws and Capital Markets (100 marks): SEBI Act, SEBI regulations on listed companies, takeover code, insider trading, and capital market operations.

  • Paper 7 — Economic, Business and Commercial Laws (100 marks): Competition Act, Consumer Protection Act, FEMA, and various business laws. Broad coverage.

  • Paper 8 — Financial and Strategic Management (100 marks): Time value of money, capital budgeting, working capital management, and strategic frameworks. Half FM numericals, half strategic theory.

CS Executive Jurisprudence Classes

Paper 1 covers constitutional law, statutory interpretation, law of torts, limitation, and general procedural laws. It is the legal thinking foundation of the entire CS curriculum. Students who treat it as the lightest Module 1 paper typically show the gap in their legal reasoning across every subsequent paper in the qualification.

Our CS Executive Jurisprudence classes are structured around statutory interpretation principles and application-based MCQ practice — building legal reasoning rather than just covering topics.

CS Executive Company Law Classes

Company Law is the single most important paper in the CS qualification. The Companies Act 2013 — incorporation, share capital, board and general meetings, directors, accounts and audit, NCLT jurisdiction, and winding-up is tested at CS Executive and returns at greater depth in CS Professional.

As the existing student review on this page confirms, faculty who explain the intent behind each Companies Act provision with NCLT case examples produce different results from faculty who read the Act aloud. Our CS Executive Company Law classes are taught at that depth.

CS Executive Business Entities Classes

Paper 3 covers the formation of companies, LLPs, partnerships, proprietorships, Section 8 companies, and foreign companies operating in India, alongside FDI regulations and the Insolvency and Bankruptcy Code (IBC) 2016. It is the most procedurally practical paper in Module 1. Students without that exposure need to build the procedural knowledge through structured learning rather than concept revision.

Our CS Executive Business Entities classes build both the regulatory framework and the procedural details the paper demands.

CS Executive Tax Laws Classes

Tax Laws is the most amendment-sensitive paper in all of CS Executive. Paper 4 covers Income Tax (approximately 50% of the paper, updated for Finance Act 2026) and GST (approximately 50%, updated for the latest GST Council notifications and CBIC circulars). Rates, deductions, exemptions, input tax credit conditions, and procedural provisions all change between sessions.

Buying a Tax Laws course that has not been updated for the Finance Act 2026 for the December 2026 attempt is a direct risk. Our CS Executive Tax Laws classes are verified as updated for all Finance Act 2026 changes and current GST notifications.

CS Executive Corporate Accounting Classes

Paper 5 covers corporate financial accounting — company financial statements, cash flow statements, ratio analysis, alongside management accounting tools including budgeting, standard costing, and marginal costing. It is the paper with the widest difficulty range across candidates.

Students without an accounting background should start Paper 5 preparation as early as possible in their Module 2 schedule and allocate more daily hours than they give to any other Module 2 paper. Our CS Executive Corporate Accounting classes are structured to teach financial accounting from the ground up.

CS Executive Securities Laws Classes

Securities Laws is the paper where most CS Executive candidates discover how much they did not know about India's capital market regulatory framework. Paper 6 covers the SEBI Act 1992, SEBI regulations for listed companies, Substantial Acquisition of Shares and Takeovers, Prohibition of Insider Trading, depositories, and the mechanics of capital market operations.

This is the paper where faculty who actively track SEBI notifications produce measurable results for better student outcomes. Our CS Executive Securities Laws classes are taught by faculty who integrate current SEBI developments into the course throughout the preparation period.

CS Executive Commercial Laws Classes

Paper 7 covers the Competition Act 2002, Consumer Protection Act 2019, FEMA 1999 and its regulations, Intellectual Property laws (Trade Marks, Patents, Copyright, Designs), and various other commercial legislation. It is the broadest paper in Module 2 in terms of legislative coverage — and the one that rewards systematic Act-by-Act reading over deep analysis of any single law. Our CS Executive Commercial Laws classes structure the preparation by legislative category with MCQ practice built around the application-based questions ICSI consistently uses in this paper.

CS Executive Financial and Strategic Management Classes

Paper 8 is split between Financial Management (approximately 60 marks — time value of money, capital budgeting, working capital management, capital structure) and Strategic Management (approximately 40 marks — strategic analysis frameworks, Porter's Five Forces, BCG Matrix, competitive strategy). The FM section is numerical and rewards daily problem-solving practice. Our CS Executive Financial and Strategic Management classes cover both sections with subject-specific teaching for each half.
